Terms of Service for Sprout

Agreement to Terms

By accessing or using the Sprout mobile application ("App," "Sprout," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

Important: These Terms include a binding arbitration clause and class action waiver (Section 15) that affect your legal rights. Please read carefully.

1. Eligibility and Account Registration

1.1 Age Requirements

You must be at least 13 years old to use Sprout. If you are under 18, you must have parental or guardian consent to use the App.

By using Sprout, you represent and warrant that:

• You meet the minimum age requirement
• You have legal capacity to enter into this agreement
• You have parental consent if under 18

1.2 Account Creation

To access cloud features, you must create an account by providing:

• A valid email address
• A secure password, OR
• Authentication via Google or Apple Sign-In

You agree to:

• Provide accurate and complete information
• Keep your account credentials secure
• Notify us immediately of unauthorized access
• Be responsible for all activity under your account

1.3 Account Security

• You are solely responsible for maintaining account security
• We are not liable for losses due to stolen or compromised credentials
• We may suspend accounts that violate these Terms or show suspicious activity

2. License and Use of the App

2.1 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use Sprout on devices you own or control
• Access features available in your subscription tier (Free or Premium)

2.2 Restrictions

You may NOT:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Remove copyright or proprietary notices
• Sell, rent, lease, or sublicense the App
• Use the App for illegal purposes
• Use automated tools (bots, scrapers) to access the App
• Attempt to gain unauthorized access to our systems
• Interfere with the App's operation or other users' experience

2.3 Ownership

Sprout and all related intellectual property (code, designs, logos, content) are owned by us or our licensors. These Terms do not grant you any ownership rights.

3. User Content and Data

3.1 Your Content

You retain ownership of content you create in Sprout (tasks, notes, pet customization). By using the App, you grant us a limited license to:

• Store your content on our servers
• Display your content to you across devices
• Process your content to provide App features (e.g., AI task breakdown)
• Back up your content for data recovery

This license ends when you delete content or close your account.

3.2 Content Responsibility

You are solely responsible for your content. You agree NOT to create content that:

• Violates laws or regulations
• Infringes others' intellectual property rights
• Contains malware or harmful code
• Is harassing, abusive, or threatening
• Violates others' privacy

3.3 Content Monitoring

We do NOT actively monitor user content, but we reserve the right to:

• Review content if we receive complaints
• Remove content that violates these Terms
• Suspend or terminate accounts for violations

3.4 Data Backups

We perform regular backups, but we are NOT responsible for:

• Data loss due to your actions (e.g., accidental deletion)
• Data loss due to device issues
• Data loss during account deletion

Recommendation: Regularly export your data (Settings → Export Data).

4. Subscription and Payments

4.1 Free Tier

Sprout offers a free tier with limited features. The free tier is available indefinitely but may be modified with reasonable notice.

4.2 Premium Subscription

Pricing:

• Monthly: £3.99/month
• Annual: £24.99/year

What You Get:

• Unlimited AI features (Task Breakdown, Brain Dump, "What Should I Do Now?")
• Pet switching and collection (unlock all 5 pets)
• Recurring tasks
• Unlimited task history
• Custom auto-delete settings
• Future premium features

4.3 Subscription Management

To Cancel:

• Cancel at least 24 hours before renewal
• Access continues until end of billing period
• No partial refunds for unused time

4.4 Refund Policy

Refunds are handled by Apple/Google according to their policies:

5. AI-Powered Features

5.1 AI Services

Sprout uses OpenAI's API for AI features:

• AI Task Breakdown
• Brain Dump
• "What Should I Do Now?" recommendations

5.2 AI Limitations

You acknowledge that AI features:

• May not always be accurate or appropriate
• Are provided "as-is" without guarantees
• Should not be relied upon for critical decisions
• May occasionally produce unexpected results

6. Prohibited Uses

You agree NOT to use Sprout to:

• Violate any laws or regulations
• Engage in fraud or deceptive practices
• Transmit viruses, malware, or harmful code
• Interfere with App security features
• Attempt to access others' accounts
• Create content that is illegal, harmful, or offensive

Consequences: Violation may result in account suspension or termination without refund.

7. Termination

7.1 Termination by You

You may terminate your account anytime by:

• Settings → Account → Reset Account, OR
• Emailing hello@sproutapp.tech

7.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• Your account shows suspicious activity
• You engage in fraudulent behavior
• Required by law

8. Disclaimers and Warranties

8.1 "AS-IS" Basis

SPROUT IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

8.2 No Medical/Professional Advice

Sprout is a productivity tool, NOT a medical or mental health app. Features designed for ADHD users are informational only. Always consult qualified professionals for medical advice.

9. Limitation of Liability

9.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED:

• The amount you paid us in the 12 months before the claim arose, OR
• £50 (if you're a free user or paid less than £50)

10. Indemnification

You agree to indemnify, defend, and hold harmless Sprout from any claims, damages, losses, or expenses arising from your use of the App, your violation of these Terms, or your violation of others' rights.

11. Privacy and Data Protection

Your use of Sprout is subject to our Privacy Policy.

12. Intellectual Property

"Sprout," the Sprout logo, and all related marks are our trademarks. All App content (code, designs, graphics, text) is protected by copyright. Unauthorized use is prohibited.

If you provide feedback or suggestions:

• We may use it without compensation
• You grant us a perpetual, royalty-free license to use feedback

13. Updates and Changes

We may modify these Terms with 30 days' notice. Continued use after notice period constitutes acceptance of new Terms.

Your options:

• Accept changes and continue using Sprout
• Reject changes and delete your account within 30 days

14. Platform-Specific Terms

14.1 Apple App Store

If you download Sprout from the Apple App Store:

• These Terms are between you and us (not Apple)
• Apple is not responsible for the App or support
• Apple is a third-party beneficiary and may enforce these Terms

14.2 Google Play Store

If you download Sprout from Google Play:

• These Terms are between you and us (not Google)
• Google is not responsible for the App or support
• Google is a third-party beneficiary of these Terms

15. Dispute Resolution and Arbitration

15.1 Governing Law

These Terms are governed by the laws of England and Wales.

15.2 Informal Dispute Resolution

Before filing a claim, you agree to contact us at hello@sproutapp.tech to resolve the dispute informally. We'll work in good faith to reach a resolution within 60 days.

15.3 Class Action Waiver

YOU AND SPROUT AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.

16. General Provisions

These Terms, Privacy Policy, and any referenced policies constitute the entire agreement between you and Sprout. If any provision is found unenforceable, the remaining provisions remain in effect.

Acceptance of Terms

By clicking "Accept," creating an account, or using Sprout, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree, do not use Sprout.

These Terms of Service are effective as of February 2, 2025.
